Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding contract between you (either as an individual or on behalf of an entity you represent, "Customer", "User", "you") and CRDPay ("CRDPay", "we", "us", or "our", founded and operated by Md Humayun Kabir), governing your access to and use of the website located at https://crdpay.com and the CRDPay cloud-based software-as-a-service applications, client portals, and related services (collectively, the "Service").
By registering for an account, accessing an agency workspace, or accessing a client portal, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
2. Description of the SaaS Platform
CRDPay is a specialized B2B cloud software-as-a-service platform developed specifically for digital marketing agencies, creative design studios, web developers, IT consultancies, and independent creative freelancers. The Service provides tools for:
- Dedicated White-Label Client Portals: Providing agency clients with an organized view of active projects, deliverables, intake tickets, and milestone status.
- Project & Task Management: Visual Kanban boards, milestone roadmaps, delivery task checklists, and sprint tracking.
- Structured Intake Briefs & Client Requests: Capture client revision brief tickets, service requests, and scope questionnaires.
- Team Collaboration & Messaging: Internal team channels, client-visible communication threads, and real-time project notifications.
- Visual Proofing & Approval Workflows: Pinpoint design proofing, document sign-offs, and deliverable revision management.
- Time Tracking & Timesheet Logging: Built-in task timers, billable hourly records, timesheet approvals, and team capacity monitoring.
- Agency Operating Documents: Internal quote generation, project scope proposals, and business recordkeeping templates.
3. Software & Non-Banking Clarification
Despite containing the term "Pay" within our brand name, CRDPay is strictly an operational workflow and project management software application.
- CRDPay is NOT a bank, licensed depository institution, money services business (MSB), money transmitter, digital wallet, or escrow provider.
- CRDPay does NOT process, transmit, clear, or settle customer-to-agency funds or payment transactions.
- Any quote builders, invoice logs, or balance records inside the software exist purely as project administrative recordkeeping tools for the agency's internal bookkeeping.
- All customer subscription payments for access to CRDPay SaaS software are processed securely by our authorized Merchant of Record, as described in Section 5 below.
4. Account Registration & Workspace Access
To access the platform, you must register for an account using a valid email address. You agree to provide true, accurate, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur within your agency workspace.
Multi-Tenant Isolation: Each agency workspace operates within a logically isolated database partition. Workspace owners determine member roles (e.g., Agency Owner, Team Manager, Contributor, Client Guest) and control visibility permissions for deliverables, files, and discussion threads.
5. Subscription Billing & Payment Processing
SaaS Subscription Tiers: Access to CRDPay is offered on recurring subscription tiers (Starter, Professional, Agency, White Label), billed on a monthly or annual basis as published on our Pricing Page.
Payment Processing & Billing: Subscription orders, recurring billing, and transaction processing are conducted through the authorized payment provider identified during checkout. The authorized payment provider handles payment authorization, billing inquiries, tax calculation, and transaction processing according to the terms disclosed at the point of sale.
Automatic Renewal: Subscription fees are billed automatically in advance on a recurring monthly or annual basis, depending on your selected billing cycle. Your subscription will automatically renew at the end of each billing term unless cancelled prior to the renewal date.
6. Cancellation & Refund Policy
Cancellation: You may cancel your CRDPay subscription at any time directly through your Workspace Billing Settings or by sending an email request to hello@crdpay.com. Upon cancellation, your workspace access will remain active until the conclusion of your current prepaid billing cycle, after which no further recurring charges will be incurred.
Refunds: We provide a transparent refund process as detailed in our comprehensive Refund & Cancellation Policy. For initial qualifying purchases of Starter, Professional, or Agency subscriptions (monthly or annual), we offer a voluntary 7-Day Money-Back Guarantee. Approved refunds are processed through the authorized payment provider and credited back to your original payment method.
7. Customer Data Ownership & Intellectual Property
Your Creative Deliverables & Data: You retain complete ownership, title, and all intellectual property rights to all client files, project deliverables, briefs, text, logos, graphics, and data uploaded or created within your CRDPay workspace. CRDPay claims zero ownership over your proprietary agency work or your clients' assets.
Platform Intellectual Property: CRDPay and its licensors retain all rights, title, and interest in and to the platform, including all software code, interface designs, trademarks, logos, and system architecture. You are granted a non-exclusive, non-transferable, revocable license to access and use the Service during your active subscription term.
8. Acceptable Use & Prohibited Activities
You agree not to misuse the Service. Specifically, you agree that you will not:
- Use the platform for any illegal purpose or in violation of local, national, or international laws;
- Upload or distribute content that infringes upon third-party intellectual property or privacy rights;
- Upload malware, viruses, trojans, or malicious code to the shared vault;
- Attempt to bypass, reverse engineer, or compromise multi-tenant database partitioning or authentication security;
- Transmit unsolicited bulk emails, promotional spam, or phishing campaigns through workspace communication tools;
- Misrepresent CRDPay as a financial or money processing intermediary to your clients.
9. Service Availability & Support
We strive to maintain continuous availability and reliability for our cloud infrastructure. However, service may occasionally be suspended for essential scheduled maintenance, infrastructure upgrades, or emergency security mitigation. 10. Disclaimers & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. IN NO EVENT SHALL CRDPAY OR ITS FOUNDERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICE.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the substantive laws applicable to commercial software services, without giving effect to conflict of laws principles. Any legal action, dispute, or proceeding arising under or relating to these Terms shall be resolved in a court of competent jurisdiction.
12. Modifications & Contact Information
We reserve the right to revise or replace these Terms at our discretion. When material changes are made, we will provide notice by updating the "Last Updated" date at the top of this page or by sending an advisory notification to your workspace administrator email. Continued use of the Service following effective changes indicates your acceptance of the revised Terms.
